Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, mobile and web applications, products, and services provided by CM Ventures Inc. (“CM Ventures,” “we,” “us,” or “our”) that link to these Terms (collectively, the “Services”). Please read them carefully.

1. Acceptance of these Terms

By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Services. If you are under the age of majority where you live, you may use the Services only with the involvement and consent of a parent or legal guardian.

3. Your account

Some Services require an account. You agree to provide accurate information, keep it up to date, and keep your credentials confidential. You are responsible for all activity that occurs under your account, and you agree to notify us promptly of any unauthorized use.

4. License to use the Services

Subject to these Terms, CM Ventures grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. We reserve all rights not expressly granted to you.

5. Acceptable use

You agree not to, and not to permit others to:

• use the Services in violation of any applicable law or regulation;
• infringe the intellectual property or other rights of CM Ventures or any third party;
• upload or transmit malware, or attempt to disrupt or compromise the Services;
• access the Services through unauthorized means, scrape, or reverse engineer them except as permitted by law;
• use the Services to harass, abuse, or harm another person; or
• misrepresent your identity or affiliation.

6. Intellectual property

The Services, including all software, text, graphics, logos, and other content we provide (excluding your content), are owned by CM Ventures or our licensors and are protected by intellectual property laws. The CM Ventures name and logos are our trademarks and may not be used without our prior written permission.

7. User content

You retain ownership of any content you submit through the Services (“User Content”). You grant CM Ventures a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display your User Content solely to operate and provide the Services. You are responsible for your User Content and represent that you have the rights necessary to submit it.

8. Purchases & subscriptions

Some Services may offer paid features or subscriptions. Purchases made through the Apple App Store or Google Play are processed by those platforms and are also subject to their terms. Unless otherwise stated or required by law, payments are non-refundable, and subscriptions renew automatically until cancelled through the applicable app store or account settings.

9. App stores & mobile applications

If you download an application from a third-party app store (such as the Apple App Store or Google Play), you also agree to that store's terms. The following additional terms apply to applications obtained through the Apple App Store:

• These Terms are between you and CM Ventures only, and not with Apple. Apple is not responsible for the application or its content.
• Apple has no obligation to provide any maintenance or support for the application.
• In the event the application fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the application.
• Apple is not responsible for addressing any claims relating to the application, including product liability, legal or regulatory compliance, or consumer protection claims.
• Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party intellectual property infringement claim relating to the application.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as “terrorist supporting,” and that you are not on any U.S. Government restricted-parties list.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce them against you.

10. Third-party services

The Services may link to or rely on third-party websites, products, or services that we do not control. We are not responsible for the content, policies, or practices of any third party, and your use of them is at your own risk and subject to their terms.

11. Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.

12. Limitation of liability

To the maximum extent permitted by law, CM Ventures and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Services. Our total liability for any claim relating to the Services will not exceed the greater of the amount you paid us for the Services in the twelve months before the claim or USD $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless CM Ventures and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your User Content, or your violation of these Terms or applicable law.

14. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or to protect the Services or other users. Provisions that by their nature should survive termination will continue to apply.

15. Governing law

These Terms are governed by the laws of the State of Colorado, USA, without regard to its conflict-of-laws rules. You agree that any dispute not subject to arbitration or small-claims court will be resolved exclusively in the state or federal courts located in Colorado, and you consent to their jurisdiction, except where prohibited by applicable law.

16. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Services after an update means you accept the revised Terms.
